Terms and Conditions

This competition will be governed by these terms and conditions and entrants agree that they have read and understood these terms and conditions and will be bound by them.

In order to be eligible for this competition entrants must have an account with the social networking websites ‘Facebook’ (www.facebook.com) (“Facebook”) and ‘Twitter’ (www.twitter.com) (“Twitter”), and with ‘YouTube’ (www.youtube.com) (“YouTube”).

To enter this competition, entrants must go to the MTV Brand New for 2013 page (http://brandnewunsigned.mtv.co.uk/, click on the “Submit” button and follow the online instructions to enter their personal details, upload a song (the “Song”) and create a unique competition page (the “Unique Competition Page”).

Each entrant undertakes that their Song does not contain anything that is defamatory, offensive or illegal.

Costs to enter the competition via the Internet may vary so please check with your network operator for current charges. Entrants should seek the permission of the person paying the bill before entering.

The closing date for entries is 23:59pm on Friday 5th October 2012.

This competition is open to residents of the UK and Ireland only, aged sixteen (16) and over at the date of entry, excluding employees and immediate relatives of employees of MTV Networks Europe (the “Promoter”), Facebook Inc, Lucid Online Limited, or any of their respective parents, subsidiaries or affiliated companies or any other person professionally connected with this competition. For the avoidance of doubt, where the entrant is a band, the provisions of this paragraph 7 shall apply to all band members.
Furthermore, in respect of bands comprising two (2) or more individuals, entrants hereby confirm that they are authorised to act on behalf of all members of the band. Only unsigned bands or artists may enter this competition. For the avoidance of doubt, unsigned shall mean the band or artist must not have signed a recording deal that includes an obligation on the band or artist to deliver a long playing album or albums. It shall be at the Promoter’s sole discretion in determining whether a band or artist is unsigned for the purposes of entry to this competition.

Multiple entries will be void and the entrant disqualified. All entries must include name, age, email address, urls for their Twitter, Facebook and YouTube accounts and uploaded Song.

On 4 October 2012, the Promoter will compile a longlist (the “Longlist”) that shall comprise entrants who the Promoter, in its sole discretion, considers to be genuine entrants to the Competition (the “Longlistees”). The Promoter shall email all Longlistees on 5 October 2012 to confirm that they are on the Longlist and to send them a promotional asset pack.

Longlistees will have between 8 October 2012 and 12 November 2012 (the “Voting Period”) to receive as many votes as possible from members of the public on their Unique Competition Page.
A shortlist of the twenty (20) most popular Longlistees (the “Shortlistees”) (based on the votes received on the Unique Competition Pages) will be compiled by the Promoter on 13 November 2012 (the “Shortlist”). Promoter will notify those entrants who are on the Shortlist by email on 16 November 2012.

One (1) first prize winner (the “Winner”) will be selected from the Shortlist on 22 November 2012 by a panel comprising representatives from the Promoter and music industry experts (the “Panel”). The Winner will be the Shortlistee who, in the Panel’s opinion, is best placed to benefit most from the prize on offer and who are most suitable for the Promoter’s audience, channels and brand.

The Winner shall progress to the MTV Brand New for 2013 shortlist, receiving a package of support which will include:
- dedicated on-air spotlight;
- and online profile page;
- and which may also include at Promoter’s discretion:
- an invitation to play at an MTV live showcase between January and June (inclusive) 2013.
THE WINNER MUST BE AVAILABLE TO PLAY A GIG AT AN MTV LIVE SHOWCASE BETWEEN JANUARY AND JUNE (INCLUSIVE) 2013. THE PROMOTER RESERVES THE RIGHT TO CHOOSE ANOTHER WINNER IF THE SELECTED WINNER IS UNABLE TO FULFIL THIS OBLIGATION.

For the avoidance of doubt, the prize does not consist of anything other than as expressly set out in paragraph 12 above and no additional costs are included.

In respect of all entrants under the age of eighteen (18), all prizes are subject to the applicable Winner first printing off these terms and conditions, obtaining the relevant signatures from their parent or legal guardian and sending the signed document to David Mogendorff, MTV Brand New for 2013 Competition, MTV Networks Europe, 17-29 Hawley Crescent, Camden Lock, London NW1 8TT. For the avoidance of doubt, where the Winner is a band, the provisions of this paragraph 14 shall apply to any band members under the age of eighteen (18).

The Winner of the prize is responsible for all applicable taxes and expenses not specified in the prize description.

The Winner will be notified by telephone on 23 November 2012 and will receive written confirmation and full details of the prize by email following the telephone call.

The Promoter reserves the right to terminate the competition and withhold the prize in the event that, in the Promoter's reasonable opinion, there are insufficient entries or the entries received are of insufficient quality for the Promoter to be able to select a winner. The Promoter’s decision is final with respect to any aspect of the competition, including the determination of any winner of a prize. No correspondence will be entered into.

Entrants agree that the Promoter may use the entrant’s entry, name and/or likeness, voice, photographs and/or video footage of the entrant, biographical information provided by the entrant and/or any statement made by them concerning the competition and/or the prize in connection with publicising the competition, in any and all media in perpetuity throughout the world as the Promoter in its sole discretion sees fit.

By entering this competition, all entrants hereby grant the Promoter the exclusive right to film, tape, sound record and photograph all their activities in connection with the competition and (if applicable) any prizes. Everything filmed, taped or recorded by the Promoter shall be known as “Footage”.

All entrants hereby irrevocably and unconditionally assign to the Promoter with full title guarantee (and by way of present assignment of present and future rights) all intellectual property rights and any Footage throughout the world for the full unexpired period of such rights and all renewals, reversions and extensions of such period as may be provided under any applicable law throughout the world.

All entrants hereby irrevocably and unconditionally waive in favour of the Promoter, the Promoter’s affiliates and its licensees, assigns and successors in title, all moral rights in any Footage to which they are, or may at any time in the future be, entitled.

The Winner may be required to participate in the filming of an MTV Live session (the “Live Session”) which may be used in any and all media in perpetuity throughout the world as the Promoter in its sole discretion sees fit. The Winner will be asked to sign separate release forms concerning such filming.

The Promoter reserves the right to select an alternative Winner in the event that the Promoter has reasonable grounds for believing that a selected Winner has contravened any of these terms and conditions.

The Winner may be required to provide a written acknowledgement of acceptance of all terms and conditions of the competition and (where the Winner is aged under eighteen (18)) with a parent’s or legal guardian’s signature prior to receiving the prize.

The Promoter shall not be responsible for technical errors in telecommunications networks, Internet access or otherwise preventing entry to any competition. All use of Facebook, Twitter and YouTube by entrants shall be subject to Facebook, Twitter and YouTube’s terms and conditions respectively and the Promoter shall have no liability in respect of the Facebook, Twitter and YouTube services.

This competition is in no way sponsored, endorsed or administered by, or associated with Facebook, Twitter or YouTube and entrants understand that they are providing information to the Promoter and not to Facebook, Twitter or YouTube. Entrants hereby release and hold harmless Facebook, Twitter and YouTube from and against any and all claims, injury or damage, arising out of or relating to participation in this competition.

The prize is as stated and is non-transferable. No cash alternatives will be offered. If due to circumstances beyond the Promoter’s control the Promoter is unable to provide any aspect of the stated prize, the Promoter reserves the right to award a substitute prize of equal value. All prizes are subject to the additional terms and conditions of the manufacturer or supplier.

By entering the competition, entrants acknowledge that they may be required to be used in publicity without further consent or payment. Such publicity may include without limitation the entrant’s name and/or likeness, voice, photographs and/or video footage of the entrant, biographical information provided by the entrants and/or any statement made by them concerning the competition and/or the prize(s). Entrants agree that any or all such elements may be used by the Promoter in any and all media in perpetuity throughout the world as the Promoter in its sole discretion sees fit.

The Promoter shall not be liable to the Winner for any loss or damage howsoever caused (whether in contract, tort or statutory duty or otherwise) arising out of or in connection with the competition and/or prize other than death or personal injury caused by negligence of the Promoter and/or the Promoter’s personnel and/or deceit or fraud by Promoter and/or Promoter’s personnel.

The Promoter shall not be liable for any delay in performing or partial or total failure to perform any of its obligations to the Winner under these Terms and Conditions if such delay or failure is caused by circumstances beyond its reasonable control including without limitation delays, changes, disruptions, cancellations, diversions or substitutions howsoever caused including without limitation as a result of war, terrorist action or threatened terrorist action, strikes, hostilities, civil commotions, accidents, fire, flood or natural catastrophes or arising without limitation out of or in connection with (i) the activities of third party event organisers; (ii) any form of transportation (including but not limited to flights, trains, coaches, buses, ferries, taxis or cars); and/or (iii) by third parties providing accommodation included in the prize. For the avoidance of doubt, the affected Winner shall be solely liable for any additional costs incurred as a result.

Only entries from individuals (including for the avoidance of doubt individuals on behalf of bands) will be accepted. Any entries that the Promoter believes have (a) been made via participation in a syndicate or (b) via any form of machine assisted intervention enabling computer generated multiple entries, will be disqualified. The Promoter reserves the right to discount multiple entries from the same IP address.

Details can be obtained by sending a stamped, self-addressed envelope to David Mogendorff, MTV Networks Europe, MTV Brand New for 2013 Competition, PO BOX 1381, London, NW1 8XT, for one (1) month after the competition closes.

Any personal information, including without limitation, the entrant's name, age, address (including postcode), telephone number and/or email address will be used solely in connection with this competition and for any purpose for which the entrant specifically opts in and will not be disclosed to any third party except for (a) the purpose of fulfilling the prize(s) where applicable and (b) for any purpose for which the entrant specifically opts in. Any personal information held by the Promoter in respect of any competition will be held on record for a reasonable period to fulfill the purpose for which such personal information was collected. If an entrant gives the Promoter permission to pass on their personal information to a third party then this shall no longer be the responsibility of the Promoter and shall be subject to the privacy policy of that third party.

All entrants agree to be bound by these Terms and Conditions, which may be amended or varied at any time by the Promoter on notice.

For the avoidance of doubt, where an entrant / the Winner (as applicable) is a band, the provisions of paragraphs 7, 14, 15, 18, 19, 20, 21, 24, 26, 29, 30, 31, 34 and 35 shall apply to all band members.

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales and the courts of England shall have exclusive jurisdiction in relation to any disputes arising therefrom.
